Apa itu Corporate Guarantee?
Sebelum menjawab inti pertanyaan Anda, sebaiknya kita pahami terlebih dahulu apa yang dimaksud dengan Corporate Guarantee. Pada dasarnya, corporate guarantee adalah penanggungan oleh badan hukum yang pengaturannya sama dengan personal guarantee (penanggungan oleh perorangan)[1] sebagaimana diatur dalam Pasal 1820 sampai dengan Pasal 1850 KUHPer, yang perbedaannya hanya terletak pada subjek hukumnya.

Oleh karena corporate guarantee memiliki pengaturan yang sama dengan personal guarantee dalam KUHPer, perusahaan dapat memberikan jaminan dipenuhinya kewajiban-kewajiban debitur kepada kreditur.[2]
Meskipun KUHPer tidak menjelaskan secara terperinci mengenai penjaminan korporasi, KUHPer menyediakan beberapa prinsip dasar untuk dapat diperhatikan. Berdasarkan Pasal 1820 KUHPer, jaminan adalah perjanjian dimana pihak ketiga (untuk kepentingan kreditur), mengikatkan dirinya untuk memenuhi perikatan debitur dalam hal debitur tidak dapat memenuhi atau melaksanakan perikatannya. Kemudian, menurut hemat kami, KUHPer juga mengkategorikan ‘jaminan’ sebagai salah satu bentuk sekuritas untuk memastikan pelaksanaan atau pemenuhan kewajiban atau perikatan tertentu seperti utang atau kewajiban pembayaran.
Dengan definisi tersebut, jelas adanya bahwa keberadaan penjaminan korporasi bergantung pada perjanjian dasarnya, sehingga menjadi penting untuk memastikan bahwa penjanjian dasar valid dan dapat dilaksanakan di hadapan hukum, sebagaimana diatur dalam Pasal 1320 KUHPer.
Kemudian, sehubungan dengan gagal bayar, Pasal 1831 KUHPer menyatakan prinsip dasar bahwa penjamin tidak diwajibkan untuk membayar kreditur kecuali ketika debitur dibuktikan lalai dalam membayar, tetapi bahkan dalam hal ini benda yang dijaminkan harus terlebih dahulu disita dan dijual untuk melunasi utang.
Sejalan dengan perkembangan transaksi bisnis, cakupan ‘jaminan’ menjadi diperluas guna memenuhi kebutuhan bisnis. Menurut hemat kami, saat ini, sudah tidak asing untuk menemui jaminan yang diberikan oleh korporasi untuk menjamin pelaksanaan kewajiban di luar pembayaran seperti penyediaan jasa atau kualitas barang yang dijual.
Jenis Transaksi yang Membutuhkan Penjaminan Korporasi
Lantas, jenis transaksi apa saja yang membutuhkan corporate guarantee? Berdasarkan praktik kami, contoh transaksi yang pada umumnya memiliki jaminan korporasi adalah:
transaksi utang piutang dimana induk perusahaan debitor memiliki aset yang dapat ditempatkan sebagai jaminan utang;
transaksi penyediaan teknologi dimana penyedia teknologi belum memiliki kecukupan ekonomi untuk menunjukan kemampuannya dalam memenuhi perjanjian;
transaksi penyediaan dimana penyedia produk (yang mana produk akan diadakan) tidak memiliki modal cukup untuk memperlihatkan modal cukup untuk menyediakan produk sesuai waktu yang ditentukan; dan
transaksi lain dimana salah satu pihak mewajibkan perjanjian korporasi untuk memastikan bahwa perjanjian akan dipenuhi.
Syarat Perusahaan Mengeluarkan Corporate Guarantee
Menjawab pertanyaan Anda mengenai apakah perusahaan A harus memiliki saham di perusahaan B? Berdasarkan praktik kami, jawabannya adalah tidak, karena hal tersebut tergantung dari persyaratan kreditur. Contohnya, apabila perusahaan B merupakan bagian dari suatu grup perusahaan dengan perusahaan A sebagai perusahaan induk dari perusahaan B, tetapi perusahaan A tidak memiliki aset yang cukup, kreditur dapat meminta perusahaan afiliasi (sister company) perusahaan B untuk menjadi penjamin dalam penjaminan korporasi. Kemudian, berdasarkan praktik kami, daripada memperhatikan jumlah saham untuk menentukan kemampuan untuk menjamin, sebaiknya Anda memperhatikan pengendalian yang dimiliki oleh penjamin dan jumlah aset yang dimiliki penjamin.
Dalam hal ini, menurut hemat kami juga penting bagi perjanjian untuk secara jelas menuliskan identitas penjamin. Selain itu, penjaminan korporasi dapat berujung pada penjualan aset atau mengambil kewajiban di bawah perjanjian material dan Anggaran Dasar penjamin dapat mengkategorikan hal ini sebagai transaksi material yang memerlukan persetujuan pemegang saham penjamin. Oleh karena itu, penting untuk mendapatkan persetujuan tersebut pada awal transaksi untuk menghindari kesulitan di masa mendatang dalam melaksanakan penjaminan korporasi, sebagaimana diatur dalam Pasal 102 ayat (1) UU PT.
Sebagai informasi, sepanjang penelusuran kami, memberikan corporate guarantee termasuk sebagai transaksi material, yaitu setiap transaksi yang dilakukan oleh perusahaan terbuka atau perusahaan terkendali yang memenuhi batasan nilai tertentu yang ditetapkan dalam POJK 17/POJK.04/2020. Adapun Pasal 3 POJK 17/POJK.04/2020 mengatur:
Suatu transaksi dikategorikan sebagai Transaksi Material apabila nilai transaksi sama dengan 20%atau lebih dari ekuitas Perusahaan Terbuka.
Transaksi berupa perolehan dan pelepasan atas perusahaan atau segmen operasi dikategorikan sebagai Transaksi Material dalam hal:
nilai transaksi sama dengan 20% (dua puluh persen) atau lebih dari ekuitas Perusahaan Terbuka;
total aset yang menjadi objek transaksi dibagi total aset Perusahaan Terbuka nilainya sama dengan atau lebih dari 20% (dua puluh persen);
laba bersih objek transaksi dibagi dengan laba bersih Perusahaan Terbuka nilainya sama dengan atau lebih dari 20% (dua puluh persen); atau
pendapatan usaha objek transaksi dibagi dengan pendapatan usaha Perusahaan Terbuka nilainya sama dengan atau lebih dari 20% (dua puluh persen).
Dalam hal transaksi sebagaimana dimaksud pada ayat (1) dan ayat (2) dilakukan oleh Perusahaan Terbuka yang mempunyai ekuitas negatif, transaksi dikategorikan sebagai Transaksi Material apabila nilai transaksi sama dengan 10% (sepuluh persen) atau lebih dari total aset Perusahaan Terbuka.
Selain itu, berdasarkan Pasal 6 ayat (1) POJK 17/POJK.04/2020 jika perusahaan terbuka akan melakukan transaksi material atau dalam hal pemberian corporate guarantee, maka perusahaan terbuka wajib:
menggunakan penilai untuk menentukan nilai wajar dari objek transaksi material dan/atau kewajaran transaksi dimaksud;
mengumumkan keterbukaan informasi atas setiap transaksi material kepada masyarakat;
menyampaikan keterbukaan informasi sebagaimana dimaksud dalam huruf b dan dokumen pendukungnya kepada OJK;
terlebih dahulu memperoleh persetujuan Rapat Umum Pemegang Saham (“RUPS”) dalam hal:
transaksi material sebagaimana dimaksud dalam Pasal 3 ayat (1) dan ayat (2) POJK 17/POJK.04/2020 lebih dari 50%;
transaksi material sebagaimana dimaksud dalam Pasal 3 ayat (3) POJK 17/POJK.04/2020 lebih dari 25%; atau
laporan penilai menyatakan bahwa transaksi material yang akan dilakukan tidak wajar; dan
melaporkan hasil pelaksanaan transaksi material pada laporan tahunan.
Namun, apabila transaksi material atau pemberian corporate guarantee dilakukan dengan perusahaan terkendali yang sahamnya dimiliki paling sedikit 99% dari modal disetor perusahaan terkendali atau transaksi yang dilakukan antara sesama perusahaan terkendali yang sahamnya dimiliki paling sedikit 99% oleh perusahaan terbuka, maka perusahaan terbuka tidak wajib menggunakan penilai dan memperoleh persetujuan RUPS.[3]

What is Corporate Guarantee?
Before answering the essence of your question, we should first understand what is meant by a corporate guarantee. Basically, corporate guarantees are guarantees by legal entities whose arrangements are the same as personal guarantees (guarantees by individuals)[4] contained in Article 1820 to Article 1850 Civil Code. The difference lies only in the legal subject.
Because Corporate Guarantees have the same arrangements as personal guarantees in the Civil Code, companies can guarantee the fulfillment of debtor obligations to creditors.[5]
Although the Indonesian Civil Code does not give a detailed definition of corporate guarantee, it does provide several basic principles to be considered. Under Article 1820 Civil Code, guarantee is an agreement where a third party (for the interest of the creditor), bound itself to fulfill the commitment of the debtor in the event of the debtor being unable to perform its commitment. Furthermore, according to our opinion, the Indonesian Civil Code categorizes ‘guarantee’ as one of the forms of security to ensure the performance/fulfillment of certain obligations or engagements (in Bahasa “perikatan”) such as debts, and payment obligations.
With such definition in mind, it is clear that the corporate guarantee existence is dependent to the underlying arrangement, it is important to ensure the underlying arrangement is valid or enforceable before the laws, as stated in Article 1320 Civil Code.
Further, in relation to payment default, Article 1831 Civil Code provides the basic principle of the guarantor should not be obliged to pay the creditor unless the debtor is proven to be in default, but even in this case the collateral should first be seized and liquidated to settle the loan.
Along with the development of business arrangements, the scope of ‘guarantee’ has effectively been expanded to meet business needs. According to our opinion, these days, it is not uncommon to encounter guarantees given by corporations guaranteeing the performance of certain obligations such as service provision or the quality of sold goods.
Types of Transactions Requiring Corporate Guarantees
So, what types of transactions require a corporate guarantee? Based on our practice, examples of transactions that generally have corporate guarantees are:
loan arrangement where the debtor’s parent company possesses the assets which can be placed as security of the loan;
technology provision arrangement where the technology provider has yet to possess strong financial standing to showcase the ability to perform contractual obligations;
procurement arrangement where the product provider (whose product will be procured) is unable to showcase sufficient capital to ensure timely delivery of the products; and
any arrangement where the counterparty requires a corporate guarantee to establish assurance that the contractual obligations will be performed.
Company Conditions for Issuing Corporate Guarantee
To answer your question about if company A guarantees the debt of company B (through corporate guarantee), does company A required to own shares in company B? The answer is not necessary as it would depend on the requirement of the creditor. For example, if company B is part of a group of companies and company A as the holding company of company B does not have significant assets, the creditor may require company B’s sister company within the same group of companies to sit as the guarantor of the corporate guarantee. According to our opinion, instead of assessing the number of shares to determine the ability to guarantee, the focus should be set on the degree of control of the guarantor and the assets possessed by the guarantor.
In this situation, it is also important to write down the guarantor's identity. Corporate guarantee may lead to the disposal of assets or undertaking obligations under the material contract(s) and the Articles of Association of the guarantor may categorize these as material transaction(s) requiring approval(s) such as shareholders’ approval. Therefore, it is pivotal to secure such corporate approvals in advance to avoid potential hurdles in executing the corporate guarantee in the future, as stated in Article 102 section (1) Law 40/2007.
For information, as far as we can see, providing a corporate guarantee is included as a material transaction, namely any transaction carried out by a public company or controlled company that meets certain value limits regulated in POJK 17/POJK.04/2020. Article 3 POJK 17/POJK.04/2020 stipulates:
A transaction is categorized as a Material Transaction if the transaction value is equal to 20% (twenty percent) or more of the Publicly-Traded Company’s equity.
A transaction in the form of acquisition and disposal of companies or operating segments are categorized as a Material Transaction in the event that:
the transaction value is equal to 20% (twenty percent) or more of the Publicly-Traded Company’s equity;
the total assets that become transaction object divided by the total assets of the Publicly-Traded Company has a value of equal to or more than 20% (twenty percent);
the net profit of the transaction object divided by the net profit of the Publicly-Traded Company has a value of equal to or more than 20% (twenty percent); or d. the revenue of the transaction object divided by the revenue of the Publicly-Traded Company has a value of equal to or more than 20% (twenty percent).
In the event that the transactions as referred to in paragraph (1) and paragraph (2) are conducted by a Publicly-Traded Company that has negative equity, the transaction is categorized as a Material Transaction if the transaction value is equal to 10% (ten percent) or more of the Publicly-Traded Company’s equity.
In addition, based on Article 6 section (1) POJK 17/POJK.04/2020 if a public company will conduct a material transaction or in the case of providing a corporate guarantee, the public company must:
employ an Appraiser to determine the fair value of the Material Transaction’s objects and/or the reasonableness of the transaction concerned;
announce information transparency on each Material Transaction to the community;
submit the information transparency as referred to in letter b and its supporting documents to the Financial Services Authority;
firstly obtain approval from a GMS in the event that:
the Material Transactions as referred to in Article 3 paragraph (1) and paragraph (2) are more than 50% (fifty percent);
the Material Transactions as referred to in Article 3 paragraph (3) are more than 25% (twenty-five percent); or
the Appraiser’s report declares that the Material Transactions to be conducted are unreasonable; and
report the implementation results of Material Transactions in an annual report.
However, if a material transaction or corporate guarantee is made with a controlled company whose shares are owned by at least 99% of the paid-up capital of the controlled company or a transaction made between controlled companies whose shares are owned by at least 99% by a public company, then the public company is not required to use an appraiser and obtain GMS approval.[6]
